Uncertain tax treatment reporting: RC3133 at $50 million of assets

Canadian CPA

Which corporations have to file RC3133 for uncertain tax treatments, and when is it due?

Canadian CPA

For tax years beginning after 2022, a corporation reports on RC3133, under ITA s.237.5, each uncertain tax treatment reflected in its audited IFRS or similar GAAP statements, if it files a Canadian return and has assets of $50 million or more at year end. It's due with the T2. Each unreported treatment costs $2,000 a week, up to $100,000.

The four tests for a reporting corporation

A corporation reports uncertain tax treatments for a tax year only if it meets all four tests below, for tax years beginning after 2022 canada.ca. Miss one and there's nothing to file.

TestWhat it meansWhere it comes from
Canadian returnThe corporation must file a return of income for the year under s.150, including a corporation not resident in Canada with a taxable presence hereITA 237.5(1), "reporting corporation"
AssetsCarrying value of $50 million or more at the end of the financial year that matches the tax yearITA 237.5(1) and 237.5(9)
Audited statementsAudited statements for a period ending in the tax year, prepared for the corporation or a consolidated group it belongs to, under IFRS or another country's GAAP used by public companies, such as U.S. GAAPITA 237.5(1), "relevant financial statements"
Uncertainty recordedThe uncertainty about its Canadian income tax is reflected in those audited statementsITA 237.5(1), "reportable uncertain tax treatment"

A tax treatment is the way a transaction or series is treated, or is planned to be treated, in a return or information return, and it includes a decision not to include an amount laws-lois.justice.gc.ca. The CRA gives the trigger in accounting terms: the entity concludes it isn't probable the tax authority will accept the treatment, so the related amounts end up in the statements canada.ca.

A private company audited under ASPE fails the third test on its own statements, because the definition only accepts IFRS or another country's public company GAAP. It can still be caught if it is consolidated into a parent's IFRS or U.S. GAAP statements.

How the $50 million test works, corporation by corporation

Carrying value is measured under s.181(3)(a) and (b), the large corporations tax rules: no equity method, no consolidation, and otherwise the balance sheet presented to shareholders under GAAP laws-lois.justice.gc.ca. Section 237.5(9) points to those paragraphs laws-lois.justice.gc.ca. The CRA confirms the threshold applies to each corporation individually canada.ca.

Worked example. A Canadian group with a December 31, 2025 year end is consolidated into its foreign parent's audited U.S. GAAP statements. Those statements record an uncertain position on a management fee OpCo deducted in its 2023 return.

CorporationOwn assets, unconsolidatedFiles a T2In audited group statementsReporting corporation for 2025?
OpCo$62 millionYesYes, and its 2023 position is recordedYes
HoldCo (owns OpCo shares at cost)$41 millionYesYesNo, under $50 million
Group, consolidatedSeveral hundred millionNot a taxpayern/aNot tested at group level

The 2023 position is still on the balance sheet at the end of 2025, so OpCo reports it on its 2023, 2024 and 2025 RC3133 returns. The CRA's guidance uses this exact pattern: a position that stays on the balance sheet is reported for every year it remains there, and one reversed in 2024 is reported for 2023 only canada.ca. The 2025 return is due June 30, 2026, the same day as OpCo's T2 canada.ca.

The CRA also says the year a RUTT pertains to is the year taxable income was affected. A change of facts in 2023 that undermines a 2021 filing position is reported as a 2021 RUTT on the 2023 RC3133 canada.ca.

When RC3133 is due and how to file it

RC3133, Reportable Uncertain Tax Treatments Information Return, is due on or before the corporation's filing due date for the year under s.237.5(3) laws-lois.justice.gc.ca. That's the T2 due date: six months after year end, or the last day of the sixth month when the year ends on a month end canada.ca. The full calendar is on the T2 filing deadline page.

The CRA's form page offers a web version, a fillable PDF and a paper PDF, all for 2023 and later tax years canada.ca.

One RC3133 covers the year. Section 237.5(2) requires prescribed information in respect of each reportable uncertain tax treatment laws-lois.justice.gc.ca. The form lists them row by row, with additional sheets past ten, and its penalty line multiplies the weeks by the number reported canada.ca. Each corporation in a group files its own: consolidated reporting isn't allowed, and amounts go in Canadian dollars, converted at a reasonable rate where the books use another functional currency canada.ca.

Scope is the Income Tax Act only, which includes Part XIII and Part VI tax. GST/HST, provincial tax and foreign tax positions stay off the return. A partnership position is reported in proportion to the corporation's share canada.ca.

What a missed RC3133 costs

The penalty under s.237.5(5) is $2,000 for each week the failure continues, capped at $100,000, and it applies to each reportable uncertain tax treatment separately laws-lois.justice.gc.ca. The cap is reached after 50 weeks.

Weeks lateOne RUTTThree RUTTs
1$2,000$6,000
10$20,000$60,000
25$50,000$150,000
50 or more$100,000$300,000

In the example above, if OpCo files its 2025 RC3133 on December 22, 2026 instead of June 30, 2026, that's 175 days, or 25 weeks. The penalty is 25 × $2,000 = $50,000 for that one treatment.

There's a due diligence defence: no penalty if the corporation took the care a reasonably prudent person would have taken to prevent the failure, s.237.5(6) laws-lois.justice.gc.ca. The CRA says RUTT penalties go through Headquarters oversight and approval, and that the test is objective and fact specific canada.ca.

The reassessment window stays open until you file

This is the cost accountants miss. Under s.152(4)(b.7), when a required RC3133 isn't filed, the CRA can reassess after the normal period. Its deadline then runs from the day the RC3133 is finally filed: four years for a corporation described in 152(3.1)(a), which includes any corporation that isn't a CCPC, and three years for others laws-lois.justice.gc.ca.

The late reassessment is limited by s.152(4.01)(b)(x) to the transaction or series the uncertain treatment relates to laws-lois.justice.gc.ca. It doesn't reopen the whole return. For the normal three and four year periods, see the CRA reassessment period page.

Filing isn't an admission. Section 237.5(7) says an RC3133 doesn't concede that the treatment breaches the Act or that any transactions form a series laws-lois.justice.gc.ca. If the matter is already in front of the CRA through a notice of objection, a ruling, Tax Court proceedings or an earlier RC312 or RC3133, the guidance lets you reference and attach those documents canada.ca.

Quebec has its own return

A corporation liable to tax under Part I of Quebec's Taxation Act for a year beginning after December 31, 2022 that must file under s.237.5(2) also completes form CO-1079.TF-T, Uncertain Tax Treatment Return, for Revenu Québec. The official version is in French only revenuquebec.ca. Revenu Québec's form page doesn't state the due date, so confirm it on the form before you rely on the federal date.

Reportable and notifiable transactions are a separate regime with their own form and penalties; they are covered on the mandatory disclosure rules page.

Does a reporting corporation with no uncertain positions file a nil RC3133?

Canadian CPA

No. Section 237.5(2) only requires a return when the reporting corporation has one or more reportable uncertain tax treatments for the year laws-lois.justice.gc.ca. If nothing is recorded in the audited statements, there's nothing to file.

Can the parent file one RC3133 for the whole group?

Canadian CPA

No. The CRA doesn't allow consolidated reporting, so each corporation files its own RC3133 for its own treatments, even when the uncertainty shows up only in the parent's consolidated statements canada.ca.

Do uncertain GST/HST or provincial positions go on RC3133?

Canadian CPA

No. The return covers the Income Tax Act only, including Part XIII and Part VI tax; GST/HST, provincial and foreign tax positions are excluded canada.ca. Quebec income tax positions are handled through Revenu Québec's own form.

Is a position reported once, or every year?

Canadian CPA

Every year it stays on the balance sheet. A 2023 position still recorded at the end of 2025 goes on the 2023, 2024 and 2025 returns; a position released during the year isn't reported for that year, even if it appears in the comparatives canada.ca.
